The Assistant Corporate Secretary will support formulating, advocating and communicating Governance and Securities Law policies, including proposed reforms, on behalf of Johnson & Johnson and its Chairman & Chief Executive Officer in his role as a Business Roundtable (âBRTâ) Leader. This position will also provide legal counsel to the corporation as a member of the Corporate Secretary Team on matters of corporate governance, executive compensation, securities regulation, and public company disclosure, and will be expected to function independently and engender the respect and support from executive management and the companyâs Directors.
As an Assistant Corporate Secretary, you will:
â¢ Attend the BRT meetings and other preparation sessions for governance developments, when needed and as appropriate
â¢ Prepare the briefing documents for Management and Government Affairs Teams on developments in corporate governance and securities laws
â¢ Formulate and prepare communications on reforms in the corporate governance and securities law space
â¢ Advise on compliance with securities laws and regulations, including those of the U.S. Securities and Exchange Commission and New York Stock Exchange
â¢ Advise on Section 16 compliance, including preparation of Form 4 for Executive Management and Board members
â¢ Engage with shareholders, including negotiation, management and, as appropriate, seeking SEC No Action relief on shareholder proposals
â¢ Support preparations for the Annual Shareholdersâ Meeting, including providing advice on meeting materials
â¢ Engage & build connections with various external groups and corporate governance peers at other public companies
â¢ Treasury Counseling: equity administration matters, assist the Equity Compensation team on day-to-day issues involving waivers, option exercises and one-off situations
â¢ Global Equity Awards, assisting with applicable global Securities Law Filings, ensuring compliance, emphasis on Japan where there are multiple filings required
â¢ Execute affidavits and other legal documents on behalf of the Office of Corporate Secretary in response to legal or regulatory proceedings
â¢ Oversee jnj.com website to timely update disclosure and policy changes for Office of Corporate Secretary, including Corporate Governance sections
â¢ Manage vendor relationships in collaboration with Procurement
â¢ Prepare and review the annual Director & Officer Questionnaire; assess and manage conflicts of interest and manage and draft the Director & Executive Officer Related Party Transactions & Independence memos in collaboration with Finance
â¢ Oversee Board posting materials to ensure accuracy and completeness
â¢ A Juris Doctor degree from a nationally recognized university, with bar admission in good standing is required
â¢ At least 6 years of experience practicing law within a top-tier law firm and/or in-house legal department of a multi-national corporation is required.
â¢ A background in corporate governance and securities law is preferred.
â¢ Experience in policy formulation and/or political lobbying is preferred.
â¢ Experience in Executive Compensation law is preferred.
â¢ Industry experience with a Healthcare company is preferred.
â¢ Must be proactive, energetic, problem-solver, fast learner, confidence interacting with senior executives.
â¢ Must be able to travel up to 15% of the time to domestic destinations.
